1. Agreement to Terms
By accessing or using Swaply B2B ("we", "our", or "us") and the Swaply B2B mobile application and website (swaplypro.com) (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
2. Eligibility
To use our Service, you must:
- Be a verified business entity
- Be 18 years or older
- Car rental companies must have a valid trading license
- Provide accurate business information
- Comply with all applicable laws and regulations
3. Account Registration
To use our Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
4. Access and Subscription
4.1 Free Access
Currently, Swaply B2B provides free access to all features for verified partners. Full access to the platform is granted upon account approval. No credit card or payment is required.
4.2 Account Approval
Access to the platform requires manual approval by our team. Once your account is approved, you will receive full access to all features. We reserve the right to approve or reject accounts at our discretion.
4.3 Future Subscription Plans
We may introduce paid subscription plans in the future. If and when paid plans are introduced, we will provide advance notice to all users. You will have the option to subscribe to a paid plan or continue with any free tier that may be available.
4.4 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including access terms, features, or availability. We will provide reasonable notice of any material changes that affect your access to the Service.
5. User Responsibilities
You agree to:
- Provide accurate business information
- Maintain account security
- Comply with all applicable UAE laws and regulations
- Respect other partners and their property
- Use the platform for legitimate business purposes only
- Not engage in fraudulent or deceptive practices
- Not misrepresent vehicles or services
- Not harass or abuse other partners
6. Booking Terms
6.1 Booking Process
Bookings are binding agreements between partners. When you request a booking, you agree to the terms and conditions set by the vehicle owner. When you receive a booking request, you may approve, reject, or cancel it according to your policies.
6.2 Cancellation Policy
Cancellation policies are set by individual partners. You are responsible for understanding and complying with the cancellation policy of each booking. Cancellation fees may apply.
6.3 Vehicle Condition
We facilitate connections between partners but are not responsible for the condition, quality, or safety of vehicles. Partners are responsible for inspecting vehicles and resolving any disputes directly.
6.4 Disputes
Disputes between partners should be resolved directly. We may provide support and mediation, but we are not responsible for resolving disputes or providing refunds.
7. Platform Limitations
7.1 Facilitation Only
Our Service facilitates connections between partners. We do not own, operate, or manage vehicles. We are not a party to any booking agreement between partners.
7.2 No Guarantees
We do not guarantee vehicle availability, condition, or quality. We do not guarantee that bookings will be approved or that transactions will be completed.
7.3 No Liability
We are not responsible for vehicle condition, accidents, damages, injuries, or disputes between partners. Partners use the Service at their own risk.
7.4 Service Availability
We provide the Service "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service. We may suspend or discontinue the Service at any time.
8. Prohibited Activities
You agree not to:
- Engage in fraudulent or deceptive activities
- Misrepresent vehicles, services, or business information
- Harass, abuse, or threaten other partners
- Violate any applicable laws or regulations
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service
- Use the Service for illegal purposes
- Copy, modify, or distribute our Service without permission
- Reverse engineer or attempt to extract source code
9. Intellectual Property
The Service, including all content, features, and functionality, is owned by Swaply B2B and protected by international copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our written permission.
10. Account Termination
10.1 By User
You may delete your account at any time through your account settings or by contacting us. Upon deletion, your access to the Service will be terminated, and your data will be deleted in accordance with our Privacy Policy.
10.2 By Platform
We may suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason we deem necessary. We are not required to provide notice or refunds in such cases.
10.3 Data Retention
Upon account termination, we will delete or anonymize your personal information in accordance with our Privacy Policy, except where we are required to retain it for legal or regulatory purposes.
11. Limitation of Liability
To the maximum extent permitted by law, Swaply B2B and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
12. Indemnification
You agree to indemnify and hold harmless Swaply B2B and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
